Terms of Service

Please read these Terms of Service carefully before using the Tollana platform. These terms govern your use of our gym management software and related services.
1. Acceptance of Terms
By creating an account or using the Tollana gym management platform, you agree to these Terms of Service. If you do not agree, do not use the platform.
These Terms constitute a binding agreement between you (the gym owner or authorized representative) and Tollana Inc., a company incorporated in Ontario, Canada.
2. Description of Service
Tollana provides a software-as-a-service (SaaS) gym management platform including:
• Member management and CRM tools
• Payment processing integrations (Square, Stripe, Interac e-Transfer)
• QR check-in and access control
• Class scheduling and booking
• Analytics and reporting dashboards
• Member-facing mobile applications
Features available to you depend on your subscription plan.
3. Account Registration
You must provide accurate, current, and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
You must be at least 18 years old and authorized to enter into contracts on behalf of your business to create an account. By registering, you represent that you meet these requirements.
4. Subscription and Billing
Tollana is offered on a monthly or annual subscription basis. By providing a payment method, you authorize Tollana to charge your selected plan's fee on a recurring basis.
• Monthly plans renew each calendar month on the date of original signup
• Annual plans renew on the anniversary of original signup
• You may cancel at any time; cancellation takes effect at the end of the current billing period
• No refunds are issued for partial billing periods, except where required by applicable law
We reserve the right to change subscription pricing with 30 days' written notice. If you do not accept the new price, you may cancel before the new price takes effect.
5. Free Trial
New accounts receive a 14-day free trial with full access to platform features. No payment method is required to start a trial.
After the trial period, your account will be paused and you must choose a paid plan to continue. Trial data is retained for 30 days after trial expiry before permanent deletion.
6. Your Responsibilities
You agree to:
• Use the platform only for lawful purposes related to operating a legitimate fitness business
• Obtain appropriate consent from your gym members to collect and process their personal data
• Maintain the accuracy of member data stored in the platform
• Not share your account credentials with unauthorized third parties
• Not attempt to reverse-engineer, copy, or redistribute any part of the platform
• Comply with applicable Canadian privacy laws including PIPEDA
You are solely responsible for the accuracy, legality, and content of data you upload to the platform.
7. Payment Processing
Tollana integrates with third-party payment processors (Square, Stripe, and Interac). Your use of these processors is subject to their respective terms of service.
Tollana is not a payment processor and is not responsible for payment processor downtime, failed transactions, or disputes between you and your members. All payment processing fees charged by third-party processors are in addition to Tollana subscription fees.
8. Data Ownership
You retain full ownership of all data you upload to the platform, including member profiles, payment records, and check-in history.
Tollana retains a limited license to process this data solely for the purpose of providing the platform services to you. We do not claim ownership of your data and do not use it for our own commercial purposes beyond service delivery.
Upon termination of your account, you may export all your data within 30 days. After 30 days, data is permanently deleted.
9. Intellectual Property
The Tollana platform, including its software, design, features, trademarks, and documentation, is owned by Tollana Inc. and protected by copyright, trademark, and other applicable laws.
Your subscription grants you a limited, non-exclusive, non-transferable license to use the platform for your business. This license does not include the right to copy, modify, distribute, or create derivative works.
10. Uptime and Service Level
We target 99.9% platform uptime, measured monthly. Scheduled maintenance windows will be announced at least 48 hours in advance.
Tollana is not liable for downtime caused by third-party services (payment processors, cloud infrastructure), force majeure events, or factors outside our reasonable control.
11. Limitation of Liability
To the maximum extent permitted by applicable law, Tollana's total liability for any claim arising from your use of the platform shall not exceed the greater of: (a) the fees you paid in the three months preceding the claim, or (b) $100 CAD.
Tollana is not liable for indirect, incidental, special, consequential, or punitive damages, including lost revenue or lost data.
12. Termination
Either party may terminate this agreement at any time. You may cancel your subscription through your account settings.
Tollana may suspend or terminate your account immediately if you breach these Terms, fail to pay applicable fees, engage in fraudulent activity, or use the platform to harm others.
Upon termination, your access to the platform will cease immediately (or at end of billing period for voluntary cancellations), and your data will be retained for 30 days before deletion.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein.
Any disputes arising under these Terms shall be resolved by arbitration in Toronto, Ontario, Canada, under the rules of the ADR Institute of Canada, unless you are a consumer in a jurisdiction with mandatory court access rights.
14. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email at least 14 days before they take effect.
Your continued use of the platform after the effective date constitutes acceptance of the updated Terms. If you do not agree to the changes, you must cancel your subscription before the effective date.
